Antitrust & Competition

When advising clients on various transactions, we pay close attention to antitrust and competition issues, so the transactions are smoothly and successfully completed. KBA’s lawyers have a strong record of transactions involving notifications to both national and EU competition authorities regarding M&A.

We also represent clients in complex antitrust investigations, including price-fixing and tying investigations. The lawyers of KBA have broad experience in litigating before competition authorities. In addition, we advise clients on a day-to-day basis concerning various competition issues arising from their relationships with customers and competitors, such as pricing issues, tying issues, exclusivity clauses, price discounts, incentives, advertising issues, rebates and other arrangements that could be viewed as anti-competitive.

Selected engagements in the field of Antitrust/Competition in which KBA’s lawyers have been involved include representation and advising of:

  • CET 21 spol. s r.o. in connection with investigations carried out by the Czech Office for the Protection of Economic Competition regarding TV Nova advertisement prices.
  • PKN Orlen S.A. with respect to the notification to the European Commission on the merger of competitors in connection with its acquisition of Unipetrol, a.s.
  • OMD Czech, a.s., the Czech subsidiary of a leading international media agency, in connection with an investigation initiated by the Czech Office for the Protection of Economic Competition regarding alleged cartel arrangements.
  • MARSH, s.r.o., a leading insurance broker and risk advisor in the Czech Republic and a member of the Marsh & McLennan Companies (MMC), in proceedings before the Czech Office for the Protection of Economic Competition and in subsequent court proceedings against the Czech Office for the Protection of Economic Competition regarding various public procurement issues.
  • South African Breweries plc (now SABMiller) in connection with the approval of its acquisition of a controlling interest in Plzeňský Prazdroj, a.s. (Pilsner Urquell).
