Over the years, the lawyers of KBA have advised their clients in a number of high-profile transactions with respect to initial public offerings, securities quotations, debt offerings, equity offerings, bond issuance, global depositary receipts and various other types of transactions involving equity.
When advising our clients, we focus not only on the initial stage of the process, but also on issues related to the ongoing reporting duties of issuers towards public authorities supervising capital markets and organizers of capital markets, as well as issues related to the corporate governance of publicly traded companies and their compliance with the pertinent laws regulating securities and capital markets.
Selected engagements in which KBA’s lawyers have been involved in the field of Capital Markets & Securities include representation and advising of:
- Central European Media Enterprises Ltd. in the listing of its shares on the Prague Stock Exchange, the first listing in the Czech Republic of a US quoted company.
- Central European Media Enterprises Ltd. in connection with their reporting and other duties towards the Prague Stock Exchange and the Czech National Bank.
- COMMERZBANK Aktiengesellschaft, Prague Branch, a member of COMMERZBANK AG, in various legal matters related to the performance of custodian duties with respect to the share funds of the collective investment, including its representation in proceedings before the Czech National Bank regarding several issues connected thereto.
- Komerční Banka, a.s. in connection with a USD 200 million offering of subordinated notes, the first international offer of subordinated debt to be treated as Tier II capital by a Central and Eastern European bank.
- Credit Suisse First Boston in connection with the USD 32 million initial offering of global depositary receipts by Komerční Banka, a.s., including their listing on the London Stock Exchange (this transaction was named “Best Capital Markets Offering” by Central European magazine).
