Corporate Governance

Along with the above-mentioned specialized advice, the lawyers of KBA provide clients with advice related to a wide range of corporate and business issues on a daily basis. In many cases, we act as general outside counsel for companies and advise them on nearly all aspects of their corporate life, including director and officer liability, capitalization, employment matters, structured financing, restructuring, shareholders structure, intra-company reorganizations, representation before courts and other governmental bodies, etc.

Selected engagements which KBA’s lawyers have been involved in the field of Corporate Governance include representation and advising of:

  • CET 21 spol. s r.o. and its affiliates in connection with all material corporate matters regarding TV Nova, including the restructuring of the TV Nova Group, which involved four related intra-group mergers between 2005 and 2008 and exceeded a value of CZK 20 billion in total.
  • MARSH, s.r.o., a member of MARSH Inc., a leading insurance broker and risk advisor in the Czech Republic, in connection with various general corporate and employment matters as well as in proceedings before the Czech Office for the Protection of Economic Competition regarding various public procurement issues.
  • Mercer (Czech) a.s., a member of MERCER Group, in connection with various general corporate matters and labor law issues.
  • Czech subsidiaries of the HBO Group in connection with various matters involving Czech corporate and labor law.
  • Central European Media Enterprises Group on Czech law issues related to their subsidiaries in the Czech Republic.
  • Plzeňský Prazdroj, a.s. on various matters under Czech labor law.
