Refinancing, Project Financing and Restructuring

The lawyers of KBA have represented clients, including international corporations, banks and other financial institutions, private equity investors and governmental authorities, in a number of high-profile transactions involving restructuring and refinancing of their businesses, development, financing and acquisition of new projects and facilities. In addition to advising clients with respect to refinancing and restructuring, we provide our clients with legal advice in the field of bankruptcy and liquidation of companies and enterprises.

Selected engagements in the field of refinancing, project financing and restructuring in which KBA’s lawyers have been involved include representation and advising of:

  • CET 21 spol. s r.o. in connection with a syndicated loan of up to CZK 3 billion provided by Česká spořitelna, a.s., UniCredit Bank Czech Republic, a.s. and BNP Paribas.
  • CET 21 spol. s r.o. in connection with the issuance under New York law of EUR 170 million senior secured notes and the listing of the notes on the Official List of the Luxembourg Stock Exchange as well as arranging a USD 90 million (CZK 1.5 billion) syndicated revolving credit facility.
  • KORADO, a.s. in connection with a syndicated loan in the amount of CZK 925 million and EUR 22.3 million provided by several Czech banks for the purposes of financing the construction of a new production line of steel panel radiators, including negotiation of the financing documentation.
  • KORADO, a.s. in connection with a loan facility in the amount of CZK 675 million provided by UniCredit Bank Czech Republic, a.s.
  • Wintrans, a.s., an affiliate of the US investment firm Winslow Partners LLC, in connection with a CZK 400 million Term Loan Facility provided by GiroCredit Sparkassen Banka Praha a.s. and Erste Bank der oesterreichischen Sparkassen AG with respect to the acquisition of Gramofonové závody a.s., a leading Czech compact disc manufacturer.
  • Charles Advantage, a.s. with respect to the EUR 13 million Term Loan Facility and a EUR 3 million Revolving Credit Facility provided by Erste Bank der oesterreichischen Sparkassen AG in connection with the restructuring of GZ Digital Media, a.s. (formerly Gramofonové závody, a.s.).
  • Giochi Preziosi, a leading Italian toy producer in connection with the termination of its business activities in the CEE Region, including the winding up and liquidation of its Czech subsidiary.
